These Terms of Service ("Terms") govern access to and use of the websites, portals, products, and services provided by NeXera Bio LLC ("NeXera Bio," "Company," "we," "our," or "us"). By accessing or using our services, you agree to these Terms.
NeXera Bio LLC is a Delaware limited liability company authorized to conduct business in the State of Florida.
Accounts are limited to licensed healthcare professionals and medical entities with:
Distributors are internal independent sales agents operating under 1099 agreements and are not clients or purchasers.
International entities are not permitted.
NeXera Bio reserves the right to verify credentials at any time and deny or revoke access at its sole discretion.
All products are sold for professional use only.

Medical professionals may use products in connection with professional research, evaluation, or client-specific applications at their sole discretion and responsibility.
NeXera Bio does not provide medical advice, treatment protocols, or clinical recommendations and assumes no responsibility for clinical outcomes.
All orders are subject to acceptance by NeXera Bio.
Payment is due at order placement unless approved credit terms are granted following a credit review.

Invoicing is permitted only for approved credit-term accounts.
Unauthorized chargebacks are prohibited. Chargebacks may only be initiated for confirmed fraudulent transactions. Improper chargebacks constitute a material breach and may result in account termination, suspension of shipments, and recovery of associated fees.
Shipping timelines are estimates only.
Title to and risk of loss transfer to the purchaser upon tender of shipment to the carrier. NeXera Bio is not responsible for carrier delays, shipping errors, or temperature excursions after shipment.

Product issues caused by improper storage, incorrect diluent, incorrect reconstitution technique, or non-sterile handling are excluded.
No refunds are issued. Approved claims will be resolved via store credit or product replacement only. All determinations are final.
Products are provided "as is" without warranties of any kind, express or implied.
NeXera Bio does not guarantee outcomes and is not responsible for medical decisions, treatment results, or downstream use.
To the fullest extent permitted by law, NeXera Bio's total liability shall not exceed the purchase price of the product giving rise to the claim. NeXera Bio shall not be liable for indirect, incidental, consequential, special, or punitive damages.
All intellectual property is the exclusive property of NeXera Bio LLC. Authorized distributors may use approved materials solely in accordance with company guidelines.
NeXera Bio may suspend or terminate accounts at any time, with or without cause or notice, including for compliance, regulatory, verification, or reputational concerns.
These Terms are governed by the laws of the State of Delaware. All disputes shall be brought exclusively in state or federal courts located in Delaware.
